Acceptance of Terms

These Terms and Conditions govern access to and use of the Areium Food Machines website, including product information, plant information, catalogues, enquiry forms and communication facilities.

By accessing or using this website, you agree to these Terms and Conditions. If you do not agree, you should discontinue use of the website.

Separate quotations, purchase orders, invoices, supply agreements or service contracts may contain additional or different commercial terms. Where a signed commercial agreement conflicts with these website terms, the signed agreement will govern the relevant transaction.

The website provides general information about food-processing machines, production lines, turnkey plants and related services.

Website content is intended for preliminary information and enquiry purposes. It does not automatically constitute a binding offer, technical commitment, performance guarantee or contract.

We aim to present accurate and useful product information. However, machinery may be modified, customized or improved without prior website notice.

Enquiries and Consultations

Submitting an enquiry does not create a purchase obligation for either party. Recommendations are generally based on the information supplied by the prospective buyer.

Customers should provide complete details regarding the product, raw material, required capacity, operating hours, utilities, installation location and desired automation level.

We are not responsible for unsuitable recommendations caused by inaccurate, incomplete or withheld information.

Quotations and Validity

A quotation is valid only for the period stated in that quotation. Prices and commercial terms may be revised after expiry.

  • Quoted prices may exclude taxes, freight, insurance and installation.
  • Bank charges, import duties and local charges may be additional.
  • Prices may change due to material, currency or logistics changes.
  • A quotation becomes binding only after written acceptance and payment.
  • Verbal discussions do not amend a written quotation unless confirmed.

Orders and Payment

Orders are subject to written acceptance by Areium Food Machines. Production normally begins after receipt of the agreed advance payment and all required technical approvals.

Payment schedules, taxes, bank details and accepted payment methods will be stated in the applicable quotation or invoice.

  • Customers must verify bank details before making payment.
  • Payments must be made only to officially communicated accounts.
  • Delays in payment may extend production or dispatch schedules.
  • Ownership may remain with us until full payment is received.
  • Withholding taxes must be supported by valid statutory certificates.

Customized Machinery

Customized machinery may be designed around buyer-specific products, capacity, dimensions, utilities or process requirements.

The buyer is responsible for reviewing and approving drawings, layouts, process descriptions and specifications. Changes requested after approval may result in additional cost and delivery time.

Custom-built or specially manufactured machines are generally not cancellable or returnable after production has commenced, except where required by applicable law or agreed in writing.

Delivery, Freight and Risk

Delivery periods are estimates unless expressly guaranteed in a signed agreement. They may depend on technical approval, payment, supplier availability, inspection, transport and circumstances outside our reasonable control.

  • Dispatch terms will be stated in the applicable quotation.
  • Freight and transit insurance are excluded unless expressly included.
  • Risk may transfer according to agreed delivery or Incoterm conditions.
  • The buyer should inspect packaging and record visible transit damage.
  • Site access, unloading equipment and storage may be buyer obligations.

Installation and Commissioning

Where installation or commissioning is included, the buyer must ensure that the site, foundations, utilities, manpower, safety arrangements and necessary permissions are ready before our personnel arrive.

Waiting time, repeat visits, additional travel, accommodation or work caused by site unreadiness may be chargeable.

Trial results depend on suitable raw material, trained operators, utilities and agreed operating conditions.

Warranty

Any product warranty will be limited to the duration, scope and conditions stated in the accepted quotation or warranty document.

  • Warranty normally applies to manufacturing defects under proper use.
  • Consumables and normal wear components may be excluded.
  • Third-party components may carry their manufacturer’s warranty.
  • Unauthorised modification or repair may void the warranty.
  • Damage from misuse, poor utilities or improper maintenance is excluded.
  • Freight, travel and accommodation may not be covered unless agreed.

Customer Responsibilities

The buyer is responsible for operating machinery lawfully and safely and for implementing suitable procedures for food safety, worker safety, maintenance and quality control.

  • Use trained and authorised operators.
  • Follow operating and preventive-maintenance instructions.
  • Provide correct power, steam, air, water and drainage utilities.
  • Install suitable guards, ventilation and workplace safety systems.
  • Comply with local factory, labour, food and environmental regulations.
  • Test finished products and establish suitable process controls.

Cancellation and Refunds

Cancellation requests must be made in writing and are subject to written acceptance.

Advance payments may be non-refundable where design, procurement, fabrication or other work has started. We may deduct costs already incurred, committed supplier costs, administrative expenses and reasonable cancellation charges.

Refund terms, where applicable, will be determined according to the accepted quotation, stage of work and applicable law.

Intellectual Property

Unless otherwise stated, website text, graphics, photographs, videos, machine drawings, branding, catalogues and other content are owned by or licensed to Areium Food Machines.

You may view and download publicly provided materials for legitimate personal or internal business evaluation. You may not copy, republish, sell, modify or commercially exploit content without written permission.

Machine drawings, process designs and technical documents remain protected and confidential unless ownership is expressly transferred in writing.

Force Majeure

We will not be responsible for delay or failure caused by circumstances reasonably beyond our control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government restrictions, strikes, transport disruption, power failure, cyber incidents or supplier shortages.

Affected obligations may be suspended for the duration of the event, and delivery schedules may be reasonably extended.

Governing Law and Jurisdiction

Subject to any dispute-resolution process stated in an applicable quotation or contract, courts having jurisdiction over the relevant Areium Food Machines business location in Uttar Pradesh, India will have jurisdiction, to the extent permitted by law.
